Notice is hereby given that the 2020 Annual General Meeting (AGM) of the Parish of St Andrew’s Cathedral will be held by way of ZOOM Webinar on Sunday, 28 June 2020 at 1pm (Singapore time).
Under the relevant Order under the COVID-19 (Temporary Measures) Act 2020, please note that the following rules govern the forthcoming AGM of St Andrew’s Cathedral, which will be conducted virtually.


  • A member will not be able to attend the AGM in person because of safe distancing control measures that are currently in place.
  • A member may only attend the AGM by observing and listening to the proceedings of the meeting by electronic means.  This year’s AGM will be held at 1pm on 28 June 2020 by ZOOM Webinar.  Members who intend to be electronically present at the AGM will be required to register their attendance on https://form.jotform.com/SACMembership/AGMReg
  • A member of the parish may only vote by appointing the Chairman of the AGM (ie. the Vicar) as the member’s proxy to attend, speak and vote at the meeting.  This is done by depositing with the parish an instrument of appointment (also known as the Proxy Voting Form) by electronic mail to secretariat@cathedral.org.sg or by post to Secretariat, St Andrew’s Cathedral, 11 St Andrew’s Road, Singapore 178959.
  • A member can only vote at the AGM by submitting a completed Proxy Voting Form not later than 2359h, 25 June 2020. 
  • Members can obtain the Proxy Voting Form by registering on https://form.jotform.com/SACMembership/AGMReg
  • All substantial and relevant questions will be addressed by the Church leadership prior to the AGM.  Questions that concern a matter that will be put to a vote will be addressed by the Church leadership before the closing date for the lodgement of Proxy Voting Forms.  A member may submit questions to the parish via email to secretariat@cathedral.org.sg or post to Secretariat, St Andrew’s Cathedral, 11 St Andrew’s Road, S(178959).
  • After the Proxy Voting Forms are submitted and counted, the Chairman will announce the results during the AGM.
  • Please be advised that the proxy form voting system, as prescribed by law, is an open voting system. We understand that members may have concerns about the secrecy of their votes cast at the forthcoming virtual AGM. The Cathedral has put into place practicable measures that will ensure that the secrecy of members’ votes will be preserved and secured to the fullest extent possible.
All Electoral Roll members who wish to do any of the following are required to submit a registration form via the Cathedral website, or by clicking on the following link https://form.jotform.com/SACMembership/AGMReg:
 
  1. Attend the AGM via ZOOM Webinar;
  2. Register for a Proxy Voting Form1 and
  3. Request for the Financial Statements for the year 2019 and Budget for the year 2020.
All registration for AGM are to be submitted not later than 12 noon on 7 June 2020.

1 A member may only vote by appointing the Vicar, who is the Chairman of the Meeting, as his/her proxy to attend, speak and vote on his/her behalf at the AGM if such member wishes to exercise his/her voting rights at the AGM.
This AGM will elect the People’s Warden, 4 Synod Representatives and 12 members of the Parochial Church Council. Nomination forms are available on the Cathedral website or via this link: https://form.jotform.com/SACMembership/NominationForm

Nomination forms are to be submitted not later than 12 noon on 10 June 2020.

2 According to the St Andrew’s Cathedral Constitution, candidates for election to membership of the PCC shall be on the Electoral Roll of the parish and must be nominated in writing from one member and seconded by another to the Honorary Secretary. Proposers and Seconders are also required to be members on the Cathedral Electoral Roll.
The Electoral Roll (ER) determines those who are eligible to either vote or be elected at the AGM onto the Parochial Church Council. All members are encouraged to check if they are on the ER. They can do so in the following manner:

- Fill in the ER Enquiry Form or
- Email to membership@cathedral.org.sg with your NRIC name, date of birth and mobile number.

Please note that members who apply to be on the ER after 31 May 2020 will not be eligible to vote at the coming AGM2020.

3 Baptised members, who are at least 17 years of age, confirmed in the Anglican Church, regularly attending Service and partaking Holy Communion in the Cathedral, should be on the Electoral Roll.
The Cathedral Budget 2020, Financial Statements 2019 and Annual Report 2019 will be available by 1 June 2020. ER members can request for the Budget and Financial Statements via the AGM Registration form on the Cathedral website, while the Annual Report can be downloaded here.
ER members can register for the Proxy Voting Form via the AGM Registration form on the Cathedral website. ER members who have registered will receive an email containing instructions on the submission of the Proxy Voting Form.

Members must submit their Proxy Voting Form by 2359h, 25 June 2020. In appointing the Chairman of the meeting (who is the Vicar of the Cathedral) as a proxy, a member must give specific instructions in the Proxy Voting Form with regards to voting, or abstentions from voting, failing which the appointment may be treated as invalid.

In this Proxy Voting Form, members will be giving instructions to his/her votes in the following matters:

Resolution 1 : To accept Audited Financial Statements and Auditorʼs Report for Year ended on 31 Dec 2019
Resolution 2 : To accept Annual Report for Year ended on 31 Dec 2019
Resolution 3 : To accept Proposed Budget for the year ending on 31 Dec 2020
Resolution 4 : To accept the reappointment of Baker Tilly TWF LLP as Auditor
Resolution 5 : To elect the following : Peopleʼs Warden, 4 Synod Representatives and 12 members of the Parochial Church Council
Members must submit their questions via email to secretariat@cathedral.org.sg or post not later than 12 noon on 10 June 2020. The answers to substantial and relevant questions will be addressed and posted on the Cathedral website before the AGM.
